1. Agreement to these Terms
These Terms of Service (the 'Terms') are a binding agreement between you and Walrus Technology LLC, a limited liability company registered at 30 North Gould Street, Suite N, Sheridan, WY 82801, USA (EIN 37-2057048), which operates the Locanium APIs, dashboard, documentation and websites (together, the 'Service'). By creating an account, generating an API key, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Definitions
'Service' means the Locanium APIs, dashboard, documentation and related websites. 'API' means our application programming interfaces. 'Account' means your registered access to the Service. 'Content' means data you submit to, or receive from, the Service. 'Fees' means the amounts payable for your plan.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for all activity under your Account, and for keeping your credentials confidential. Notify us promptly of any unauthorized use of your Account.
4. The Service
Walrus Technology LLC provides REST APIs for geolocation, currency, timezone and identity-validation data. We may add, change or discontinue features, endpoints or data sources over time. Beta or preview features are provided 'as is' and may be changed or withdrawn without liability.
5. API keys and security
API keys authenticate requests made under your Account and must be kept secret. You are responsible for all usage attributed to your keys. Do not embed secret keys in client-side code or public repositories. We may rotate or revoke keys that appear to be compromised.
6. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy and all applicable laws. You may not resell raw API responses as a competing data product, attempt to circumvent rate limits, or use the Service to profile or track an individual in violation of privacy law.
7. Fees, billing and taxes
Paid plans are billed in advance on a recurring basis according to the pricing in effect when you subscribe. Fees are stated exclusive of taxes; you are responsible for applicable taxes other than Walrus Technology LLC's income taxes. Usage above your plan's included volume may incur overage charges at the published rates.
8. Subscriptions and cancellation
Subscriptions renew automatically for successive terms until cancelled. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period, and you keep access until then. We may suspend or downgrade Accounts with overdue balances after reasonable notice.
9. Refunds
Fees are generally non-refundable except where required by law or expressly stated here. If you were charged because of our billing error, contact us within 30 days and we will refund the incorrect amount. Approved refunds are returned to the original payment method; usage-based charges already incurred are not refundable.
10. Service level agreement
For paid production plans, Walrus Technology LLC targets 99.99% monthly uptime for the core API endpoints. 'Uptime' excludes scheduled maintenance announced in advance, factors outside our reasonable control (including third-party network or infrastructure failures), and issues caused by your own misuse. Availability is measured against our monitoring of the production endpoints.
11. Service credits
If we fall below the committed availability in a billing month, eligible customers may request service credits calculated as a percentage of that month's fee for the affected service: 10% for 99.0–99.98% uptime, 15% for 95.0–98.99%, and 30% below 95.0%. Credits are your sole and exclusive remedy for availability shortfalls, must be requested within 30 days, and are applied to future invoices.
12. Customer data and privacy
You retain ownership of the Content you submit. Our handling of personal data is described in our Privacy Policy, and where we process personal data on your behalf our Data Processing Agreement applies. You are responsible for having a lawful basis to send us any personal data and for your end users' notices and consents.
13. Intellectual property
The Service, including its software, documentation and APIs, is owned by Walrus Technology LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. All rights not expressly granted are reserved.
14. Third-party services
The Service may rely on or link to third-party services, such as payment and infrastructure providers. Those services are governed by their own terms, and we are not responsible for them. Your dealings with third parties are solely between you and them.
15. Warranties and disclaimers
The Service is provided 'as is' and 'as available' without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that data returned by the API is complete, accurate or error-free, and it must not be relied upon as the sole basis for decisions with legal or safety consequences.
16. Limitation of liability
To the maximum extent permitted by law, Walrus Technology LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.
17. Indemnification
You will defend, indemnify and hold harmless Walrus Technology LLC from claims, damages and expenses arising out of your use of the Service, your Content, or your violation of these Terms or applicable law, except to the extent caused by our own breach.
18. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access for material breach, non-payment, or where required by law; on termination your right to use the Service ends and any outstanding Fees become due.
19. Changes to the Service and Terms
We may update these Terms from time to time. If we make material changes we will provide reasonable notice, for example by email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
20. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property.
